Terms of Service

Agent Foshan is a sourcing and procurement agent based in Foshan, Guangdong Province, China. We help importers, retailers, developers, and hospitality buyers source furniture, ceramics, lighting, sanitary ware, and building materials from Chinese factories. In these terms, “we”, “us”, and “our” refer to Agent Foshan, and “you” refers to the client using our website or services.

We provide sourcing services that may include factory identification and screening, price and terms negotiation, sample coordination, production follow up, quality inspections, warehouse consolidation, export documentation, and shipping coordination. The exact scope of any engagement is agreed with you in writing before work begins.

We act as your sourcing agent. We are not the manufacturer or seller of the products, and we do not take ownership of the goods. The purchase contract for the products is between you and the factory. You pay the factory directly for the goods at the factory price, and you pay us an agreed service fee for our work. We represent your interests when dealing with factories on your behalf.

Quotations are based on the information you provide and on factory pricing at the time of enquiry. Prices, lead times, and availability can change until an order is confirmed. Our service fee is agreed with you in writing before any work begins, and there are no hidden markups added to your product cost.

An order is confirmed once specifications, quantities, prices, and terms are agreed in writing and any required deposit is paid. You are responsible for reviewing and approving product specifications, samples, and pro forma invoices before production begins. We are not liable for errors in specifications that you have approved.

Payments for goods are made directly to the factory using the payment method agreed for each order. Service fees are payable to Agent Foshan as set out in your agreement. You are responsible for any bank charges, currency conversion costs, and taxes that apply to your payments. We never ask you to send product payments to us on behalf of a factory.

Where inspection services are agreed, we carry them out to the standard set out in your engagement, such as AQL sampling. An inspection reflects the condition of the goods at the time and place it is performed. It reduces risk but cannot guarantee that every unit is free of defects. You may request re inspection or additional checks for an agreed fee.

Where we coordinate logistics, delivery times are estimates provided by carriers and are not guaranteed. Risk and responsibility for the goods pass according to the agreed shipping terms, such as EXW or FOB. You are responsible for import duties, taxes, customs clearance, and any regulations that apply in the destination country.

Product warranties, where offered, are provided by the factory, not by Agent Foshan. If goods arrive defective or do not match the approved specification, tell us promptly and we will help you raise and pursue a claim with the factory. Our role is to assist and represent you in resolving the issue, within the limits of what the factory agrees.

You confirm that any designs, drawings, logos, or specifications you provide do not infringe the rights of others, and you remain the owner of your own intellectual property. The content of this website, including text, graphics, and layout, belongs to Agent Foshan and may not be copied or reused without our permission.

We treat your product information, designs, and business details as confidential and share them with factories and service providers only as needed to deliver your order. We ask you to treat factory pricing, contacts, and other information we share with you as confidential as well.

We provide our services with reasonable skill and care, but we do not guarantee any specific commercial outcome. To the fullest extent permitted by law, our total liability for any claim arising from our services is limited to the amount of the service fee you paid us for the order concerned. We are not liable for indirect or consequential losses, such as lost profits or business interruption.

You agree to hold Agent Foshan harmless from claims, losses, or costs that arise from information or instructions you provide, from your breach of these terms, or from your infringement of the rights of any third party.

We are not responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, strikes, factory shutdowns, transport disruptions, changes in law, or public health emergencies.

Either party may end an engagement by written notice. Fees for work already carried out up to the date of termination remain payable. Any commitments already made to factories on your behalf, such as confirmed orders or deposits, remain your responsibility.

These terms are governed by the laws applicable in the People’s Republic of China. We will always try to resolve any dispute with you amicably and in good faith. If a dispute cannot be settled through discussion, it will be handled through the appropriate courts or an agreed method of dispute resolution.

We may update these terms from time to time. When we do, the “Last updated” date above will change. Continuing to use our website or services after an update means you accept the revised terms.
